Foreign Investment in Bahrain

Bahrain's liberal economic policies, strategic position, supportive government and relaxed lifestyle make it the financial capital of the Gulf and foreign investment is highly encouraged and supported in Bahrain.

Bahrain's industries are evidence of the enthusiasm of the Government of the Kingdom of Bahrain to encourage investment in the country and the region. Foreign firms receive the same incentives as those available to Bahraini companies and the commercial companies' laws and legal framework are continually under review to ensure consistency with the international principles. The major attractions of foreign investors are:

  • An established banking sector and Bahrain continuing to be the financial centre of the Arabian Gulf region.

  • Absence of personal, corporate, underlying and withholding taxation.

  • No restrictions on repatriation of capital, profits, royalties and dividends.

  • Macro-economic stability with a history of sustained low inflation rates.

  • Solid financial services, legal and accounting infrastructure and liberal lifestyle.

  • Well defined set of laws and regulations.

  • 100% foreign ownership of a company permitted in certain cases.

  • Well established industrial zones.

To carry out any commercial activity in the Kingdom of Bahrain, a legal vehicle must be established in accordance with the Bahrain Commercial Companies Law No. (21) of 2001. Bahrain has a comprehensive regulatory frame work to facilitate the establishment and ongoing operations of various business activities.

A wide range of company forms are available in Bahrain, whether starting a new business, setting up a trust or holding company, Keypoint can advise and assist clients in selecting and establishing the right legal entity for their organisation.

The following are the legal structures available under the Kingdom's laws for undertaking commercial activities:

  • Companies with limited liability (many forms, with one or more shareholders, depending on the nature of business)

  • Branch of a foreign entity

  • Representative Office of a foreign entity (with limited activity)

The legal structure of  certain specialized activities are  also governed by other laws and regulations, for example, the Central Bank of Bahrain's rules  have requirements on legal structures that carry out financial services and trust, fund administration activities.
